BALTIMORE—Weis Markets, a Mid-Atlantic food retailer based in Sunbury, PA, has reached an agreement with Food Lion to buy 38 of its grocery stores located throughout the Mid-Atlantic. The purchase price was not disclosed.

Food Lion, which is headquartered in Salisbury, NC, is a company of Delhaize America, the US division of Brussels-based Delhaize Group. Last year, the Delhaize Group and Ahold agreed to merge. As part of the approval process, the two companies' US subsidiaries have agreed to sell a total of 86 stores in locations where both companies operate. The Weis Markets transaction is part of that sell off.

Weis plans to complete the purchase of the 38 stores pending regulatory approval.

"This transaction provides us the opportunity to expand into markets that are contiguous to our current trade area, particularly in Maryland where we are adding 21 stores -- essentially doubling our store count in a state where we have steadily grown in recent years," says Weis Markets CEO Jonathan Weis in a prepared statement.

"We're also looking forward to expanding our operations into two adjacent states with the addition of 13 stores in Virginia and four in Delaware."

This is the company's second major acquisition in 2016. In May, it announced plans to purchase five Mars Super Markets in Baltimore County. When both purchases are complete, Weis Markets will have grown its footprint by more than 25%, operating 203 stores in seven states: Pennsylvania, Maryland, Virginia, New York, New Jersey, Delaware and West Virginia.

Many of the stores in the larger divestiture by Delhaize Group and Ahold are also located in the Mid-Atlantic. They represent 4.1% of the Ahold and Delhaize Group companies' total combined US store count and 3.2% of combined US 2015 net sales.

The buyers of the 86 stores being divested are:

  • New Albertson's, which is purchasing one Giant Food store in Salisbury, MD;
  • Big Y, which is purchasing 8 Hannaford stores in eastern Massachusetts;
  • Publix, which is purchasing 10 MARTIN's stores in Richmond, VA;
  • Saubel's Markets, which is purchasing 1 Food Lion store in York, PA;
  • Supervalu, which is purchasing 22 Food Lion stores in Maryland, Pennsylvania, Virginia and West Virginia;
  • Tops Markets, which is purchasing one Stop & Shop store in Massachusetts as well as 3 Stop & Shops and two Hannaford stores in New York; and
  • Weis Markets, which is purchasing 38 Food Lion stores in Delaware, Maryland and Virginia.
