BAYONNE, NJ—CarePoint Health has signed a letter of intent to sell its Bayonne Medical Center here to BMC Hospital LLC.

No financial terms of the transaction for the 278-bed acute care hospital were disclosed.

"Bayonne is the kind of closely-knit community we love to serve," says Wayne Hatami, president of BMC Hospital LLC. "We're looking to engage with the center's leadership and employees, its unions, the mayor and community, and work closely with the doctors and nurses to ensure that Bayonne gets the quality acute care hospital it needs and deserves."

BMC Hospital LLC is comprised of Wayne Hatami, Anthony Degradi, and Feliks Kogan who are part owners of multiple ambulatory surgery centers in New York and New Jersey.

"We believe the center's staff is central to its success, so we will offer employment to current employees, keep the terms and conditions now in effect, and voluntarily recognize each union as the representative of each unit that it now represents," Hatami adds.

CarePoint Health released a statement, noting that the transaction is contingent on approvals from the state Department of Health, and either a simultaneous purchase of the hospital real estate by an affiliated entity or the City of Bayonne and/or Hudson County Improvement Authority exercising its right to eminent domain related to the land, according to a report in NJBIZ.

CarePoint related in the statement that the parties expect to sign a definitive agreement within 45 days, according to the NJBIZ report.

BMC Hospital states that its team has long specialized in reviving financially distressed ambulatory surgery centers and making them viable for their communities. The company adds that its "proprietary turnaround approach involves close collaboration with physicians and nurses to improve health care, convenient patient-centered service, and state-of-the-art equipment."

CarePoint Health operates three area hospitals—Bayonne Medical Center, Christ Hospital in Jersey City, and Hoboken University Medical Center.
