BAYONNE, NJ—CarePoint Health has signed a letter of intent tosell its Bayonne Medical Center here to BMC Hospital LLC.

No financial terms of the transaction for the 278-bed acute carehospital were disclosed.

"Bayonne is the kind of closely-knit community we love toserve," says Wayne Hatami, president of BMC Hospital LLC. "We'relooking to engage with the center's leadership and employees, itsunions, the mayor and community, and work closely with the doctorsand nurses to ensure that Bayonne gets the quality acute carehospital it needs and deserves."

BMC Hospital LLC is comprised of Wayne Hatami, Anthony Degradi,and Feliks Kogan who are part owners of multiple ambulatory surgerycenters in New York and New Jersey.

"We believe the center's staff is central to its success, so wewill offer employment to current employees, keep the terms andconditions now in effect, and voluntarily recognize each union asthe representative of each unit that it now represents," Hatamiadds.

CarePoint Health released a statement, notingthat the transaction is contingent on approvals from the stateDepartment of Health, and either a simultaneous purchase of thehospital real estate by an affiliated entity or the City of Bayonneand/or Hudson County Improvement Authority exercising its right toeminent domain related to the land, according to a report inNJBIZ.

CarePoint related in the statement that the parties expect tosign a definitive agreement within 45 days, according to the NJBIZreport.

BMC Hospital states that its team has long specialized inreviving financially distressed ambulatory surgery centers andmaking them viable for their communities. The company adds that its"proprietary turnaround approach involves close collaboration withphysicians and nurses to improve health care, convenientpatient-centered service, and state-of-the-art equipment."

CarePoint Health operates three area hospitals—Bayonne MedicalCenter, Christ Hospital in Jersey City, and Hoboken UniversityMedical Center.
