SAN FRANCISCO—Continuing its growth and expansion in its SanFrancisco office, Venable LLP said this weekthat Brandt Mori has rejoined the firmas counsel in its nationally recognized Corporate and HospitalityGroups. Mori spent the past three years as general counsel at sbe,a global hospitality and real estate development company.

At sbe, Mori managed the company's team of in-house and externalattorneys and handled all legal aspects of the company'sacquisition, development, financing, management, operation, saleand brand licensing of hotels, condo-hotels,branded residences, mixed-useprojects, restaurants, andnightlife venues both domestically andinternationally.

His work included advising on complex business and real estateacquisition, sale and financing transactions; joint ventures,management agreements, development agreements and brand/trademarklicense agreements; celebrity chef consulting and licenseagreements; office and retail leases, including restaurant andnightclub/bar leases; private investment offerings and investorrelations and general commercial agreements.

Mori also worked closely with senior management and otherinternal business units to address a broad scope of operationsrelated issues, including beverage law compliance and otherregulatory and licensing compliance, privacy, employment/humanresources, executive employment agreements, advertising andmarketing, customer relations/liability, venue openings andclosures, and litigation. Mr. Mori also managed sbe's extensiveintellectual property portfolio.

Prior to joining sbe, Mori spent four years as a LosAngeles-based associate in Venable's CorporateGroup, which Legal 500 recently rankedin Tier 1 for M&A: Middle-Market (Sub-$500m), advising clientsin a wide range of business and real estate transactions. He had aparticular emphasis on mergers and acquisitions; complex commercialfinancings; the formation and structuring of new businesses; jointventures; product manufacturing, distribution and licensing;general corporate representation and the negotiation and draftingof complex commercial agreements.

In his second stint with Venable, Mori's primary focus will beexpansion of the firm's West Coast Hospitality practice whileleveraging his extensive corporate experience. He will alsocontinue his relationship with sbe, serving as the company'sOutside General Counsel. Opened nearly a year ago, Mr. Mori joins agrowing San Francisco office which added litigators JessicaGrant and Angel Garganta earlier this year.

Mori earned his J.D. from the University of SouthernCalifornia, Gould School of Law and anM.B.T. from the University of Southern California LeventhalSchool of Accounting in 2006 and a B.A., cum laude,from the University of California at Los Angelesin 2003.
